Terms of Service

By engaging NuxCart for any service — including Shopify store development, theme customisation, app integration, or ongoing support — you agree to be bound by these Terms of Service.

If you do not agree to these terms, please do not proceed with any engagement. These terms apply to all clients, prospective clients, and visitors to our website.

NuxCart is a Shopify-focused eCommerce agency offering the following services:

• Shopify Store Development — Custom storefront builds from scratch or migration from other platforms.

• Theme Customisation — Modifications to existing Shopify themes to match brand requirements.

• App Integration — Installation and configuration of Shopify apps and third-party tools.

• Performance Optimisation — Speed, SEO, and conversion rate improvements.

• Ongoing Retainer Support — Monthly maintenance, updates, and technical assistance.

The specific scope, deliverables, timeline, and pricing for each engagement will be defined in a separate Project Agreement or Statement of Work.

All projects commence upon signing of a Project Agreement and receipt of the agreed deposit.

The Project Agreement supersedes any verbal discussions and constitutes the binding scope of work. Any changes to scope must be agreed in writing and may result in revised timelines and additional costs.

NuxCart reserves the right to decline any project at its discretion.

Payment terms are outlined in each Project Agreement. Standard terms are:

• Deposit: 50% of the total project fee is due before work commences.

• Final Payment: Remaining balance is due upon project completion, prior to final delivery or site launch.

• Retainer Services: Billed monthly in advance.

Invoices are due within 7 days of issue unless otherwise agreed. Late payments may result in work being paused until the outstanding balance is settled.

All prices are exclusive of applicable taxes unless stated otherwise.

Upon receipt of full payment, the client owns all custom code, designs, and assets created specifically for their project.

NuxCart retains ownership of any proprietary tools, frameworks, or methodologies used in delivering the project. These are licensed to the client for use within their Shopify store only.

Third-party assets (fonts, stock images, Shopify apps) remain subject to their respective licences.

NuxCart reserves the right to showcase completed work in its portfolio unless the client requests otherwise in writing.

To ensure timely project delivery, clients are responsible for:

• Providing all required content, assets, and access credentials promptly.

• Reviewing and approving deliverables within agreed timeframes.

• Ensuring they have the rights to any content or assets provided to NuxCart.

• Maintaining active Shopify plan and any required third-party subscriptions.

Delays caused by the client may result in revised timelines and additional charges.

Each project includes a defined number of revision rounds as specified in the Project Agreement.

Requests that fall outside the agreed scope will be treated as change requests and quoted separately.

NuxCart will notify the client before undertaking any out-of-scope work.

NuxCart warrants that all work will be performed with reasonable skill and care, in accordance with industry standards.

We do not guarantee specific business outcomes such as sales figures, traffic levels, or conversion rates. Results depend on many factors outside our control.

Shopify platform changes, third-party app updates, or client modifications after project handover may affect functionality. Post-handover support is available under a separate retainer agreement.

To the maximum extent permitted by law, NuxCart's total liability for any claim arising from our services shall not exceed the total fees paid by the client for the specific project in question.

NuxCart shall not be liable for indirect, incidental, or consequential damages, including lost profits or data loss.

Either party may terminate a project engagement with 14 days written notice.

In the event of termination, the client is liable for payment of all work completed up to the termination date. Deposits are non-refundable.

NuxCart may terminate immediately if the client engages in unlawful activity, fails to make payment, or breaches these terms.

Both parties agree to keep confidential any proprietary or sensitive information shared during the engagement.

This includes business strategies, financial data, customer information, and technical specifications.

Confidentiality obligations survive the termination of any project agreement.

These Terms of Service are governed by the laws of India. Any disputes arising from these terms or our services shall be subject to the exclusive jurisdiction of the courts of India.

NuxCart reserves the right to update these Terms of Service at any time. Updated terms will be posted on this page with a revised effective date.

Continued engagement with NuxCart after changes are posted constitutes acceptance of the revised terms.
